Introduction

Prometheus Payment Systems, Inc. ("Prometheus," "us," "we," "the Company" or "our") is dedicated to ensuring and protecting your privacy. Prometheus Payment Systems is a Delaware Corporation, registered as a Money Service Business with FinCEN. (Registration Number: 31000307873438) Services are provided under American Law.

This User Agreement (the "Agreement") governs your use of the services provided by Prometheus described below (the "Services") accessible through the Prometheus website or mobile application and the API (the "Site"). By accessing, using, or attempting to access or use the Services, you acknowledge and agree that you have read, understood, and accepted all the terms and conditions contained in this Agreement as well as our Privacy Policy. If you are unable to comply with these Terms of Service, you may not access or use the Services and must immediately cease any use of the Services. We may amend this Agreement from time to time by posting a revised version of this Agreement to the Site and sending notice to the email associated with your Account (if applicable) and may do so without advance notice to you. Accordingly, please review the Agreement posted at this location on a periodic basis. Each time you use the Services, you agree to be bound by the terms of the Agreement in effect at the time of your use thereof. Again, if you do not agree to the revised terms, you are not permitted to use the Services.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal action or proceeding arising under or relating to these Terms of Use shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and each party irrevocably consents to the jurisdiction and venue of such courts.

Complaint Resolution

In the event of any complaint arising between you and Prometheus, both parties agree to first attempt to resolve the issue amicably through good-faith negotiation. Complaints will be addressed promptly and fairly by Prometheus's designated representative. Users are encouraged to provide detailed information regarding their concern to expedite the resolution process. Prometheus will make reasonable efforts to investigate and address all complaints in accordance with applicable U.S. laws and regulations.

If a user is not satisfied with Prometheus's resolution, they retain the right to pursue any legal remedies available to them under applicable law. Nothing in these Terms of Use shall be construed as a waiver of a user's right to legal redress.

AUTHORIZATION TO ELECTRONICALLY RECEIVE ANY AND ALL COMMUNICATIONS IS A CONDITION OF ACCESS TO AND USE OF THE SERVICES, MEANING THAT IF YOU REVOKE YOUR CONSENT TO RECEIVE SUCH COMMUNICATIONS ELECTRONICALLY YOU UNDERSTAND THAT YOU MAY NOT CONTINUE TO ACCESS OR USE THE SERVICES.

As with any asset, the value of digital currencies can go up or down and there can be a substantial risk that you lose money buying, selling, holding, or investing in digital currencies. You should carefully consider whether trading or holding digital currencies is suitable for you considering your financial condition. Prometheus is not registered with the U.S. Securities and Exchange Commission and does not offer securities services in the United States or to U.S. persons.

Eligibility

To be eligible to use any of the Prometheus Services, you must be at least 18 years old, have the capacity to enter legally binding contracts and reside in a jurisdiction in which the relevant Prometheus Services are accessible. For reference, below are a list of jurisdictions that users need to reside to use any of the Prometheus Services.

Registration and Logging In

For the User to register or log in to Prometheus Services, such User needs to provide information required by Prometheus, including email. You guarantee to use only one account (one e-mail address) of your own and promise not to use or access any other person's or entity's account or impersonate any other person or entity at any time or assist others in gaining unauthorized access to the Services. If Prometheus identifies that a person or entity is using multiple accounts or e-mails, it may block such user and suspend provision of Services to such User.

During registration for Prometheus Services, you agree to provide all requested information for the purposes of identity verification and the detection of money laundering, terrorist financing, fraud, or any other financial crimes and permit us to keep a record of such information. You will need to complete certain verification procedures before you are permitted to use Prometheus Services. Your access to one or more Services and the limits that apply to your use of the Services, may be altered because of information collected about you on an ongoing basis. In providing us with this or any other information that may be required, you confirm that the information is accurate and authentic. You agree to keep us updated if any of the information you provide changes. See our Privacy Policy for how we treat your data.

At all times Prometheus may request further information where it's necessary, including in the event of any suspicious activity related to the User or any transaction, for example ID and authenticating documents, and may freeze any transactions that are pending during the review. Prometheus, in its sole discretion, may refuse to carry out or intermediate in carrying out transactions that it considers suspicious.

Services Provided to You

Prometheus will act as your commercial agent, and by agreeing to these Terms of Use you expressly authorize Prometheus to act on your behalf in facilitating transactions you initiate through the platform. In this role, Prometheus may purchase or sell digital assets, convert digital assets to or from fiat currency, or process payments to designated merchants, strictly in accordance with your instructions and subject to these Terms of Use. At no point does Prometheus operate as a custodian of customer funds; rather, Prometheus executes transactions as an intermediary agent and delivers the purchased digital assets or fiat currency to the wallet address or bank account you designate.

Prometheus DOES NOT provide crypto/digital asset wallets, nor does Prometheus host wallets or is the custodian of funds or assets. Purchases/orders through Prometheus are one-offs and executed individually, one by one. Lastly, Prometheus Does Not facilitate or provide trading or investment or brokerage accounts, or facilities, nor does Prometheus provide investment or any other financial advice.

Cryptocurrency Transactions

You may access Prometheus's Services directly through our platform or through our partner applications and websites to initiate transactions, including (i) the purchase of digital assets with fiat currency, (ii) the sale of digital assets in exchange for fiat currency, and (iii) the processing of payments to approved merchants. All applicable fees will be displayed during the transaction flow. The quoted price, exchange rate, and amount of fiat currency or digital assets you wish to exchange or transfer will be confirmed at the time you place an order.

Acceptance of any order by Prometheus does not guarantee completion of the transaction. Completion is conditional upon actual receipt by Prometheus (or its designated payment processor, liquidity provider, or banking partner) of the required fiat currency or digital assets, as well as payment of any applicable fees. Prometheus relies on regulated third-party payment processors, custodians, and banking partners to process fiat payments and settle transactions, and fulfillment of Services is subject to the successful completion of these processes.

Prometheus, Inc. Refund Policy

At Prometheus, Inc., customer satisfaction is important to us. We recognize that there may be limited circumstances where a refund is appropriate. To ensure transparency and fairness, we have established the following refund policy in accordance with applicable U.S. consumer protection and electronic payments laws, as well as the operating rules of relevant card networks and payment processors.

Arbitration

At Prometheus's sole discretion, any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Services shall be resolved by binding arbitration under the Federal Arbitration Act. Arbitration shall be conducted by a single arbitrator through the American Arbitration Association (AAA) pursuant to its rules. To the fullest extent permitted by law, you agree that all claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Refund Period:

At Prometheus, Inc., customer satisfaction is important to us. We recognize that there may be limited circumstances where a refund is appropriate. To ensure transparency and fairness, we maintain this refund policy in accordance with applicable U.S. consumer protection and electronic payments laws. Refund eligibility is determined based on the nature of the transaction, applicable law, and Prometheus's risk management and compliance obligations.

Refund Process:

To initiate a refund request, customers are required to contact our dedicated customer service team via email at team@prometheus.inc. When reaching out, please include your full name, contact details, pertinent transaction information, and a brief explanation of the reason for the refund request.

Our experienced customer service representatives will promptly acknowledge your email and guide you through the refund process with personalized assistance. Rest assured, we are committed to ensuring a smooth and satisfactory resolution to your request.

Refund Eligibility:

While we strive to accommodate refund requests where appropriate, certain conditions and exclusions apply. Refunds will be granted only in accordance with applicable U.S. consumer protection and electronic payments laws, and subject to Prometheus's internal compliance and risk management policies. Refunds may not be available for specific types of transactions or Services, as outlined in these Terms of Use. All refund requests are subject to verification and approval by Prometheus prior to processing.

Timely Resolution:

We understand the importance of prompt resolution when it comes to refund requests. Our aim is to process all eligible refunds in a timely manner, with due consideration given to the original method of payment. However, please note that processing times may vary depending on external factors such as banking procedures and transaction volumes.

Prohibited Use

You may not use the Services for any unlawful purpose or in connection with any activity that violates applicable laws or regulations, including but not limited to money laundering, terrorist financing, fraud, sanctions evasion, gambling, unlicensed securities trading, or transactions involving darknet markets. You further agree not to interfere with or abuse the Services, attempt to gain unauthorized access to Prometheus systems, or use the Services in any manner that could damage Prometheus's reputation or operations. Prometheus reserves the right to investigate and report any prohibited activity to the appropriate authorities.

Suspension, Termination, and Cancellation

Prometheus may: (a) refuse to complete, or block or cancel you have authorized (b) suspend, restrict, or terminate your access to any or all the Prometheus Services and/or (c) deactivate or cancel you Prometheus account with immediate effect for any reason, including but not limited to where:

  • We reasonably believe that we need to do so to protect our reputation.
  • We are, in our reasonable opinion, required to do so by applicable law, regulation or any court or other authority to which we are subject in any jurisdiction.
  • We reasonably suspect you of acting in breach of these Terms of Use.
  • We have concerns that a transaction is erroneous or about the security of your Prometheus account or we suspect the Prometheus Services are being used in a fraudulent or unauthorized manner.
  • We suspect money laundering, terrorist financing, fraud, or any other financial crime.
  • Use of your Prometheus account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Prometheus account activity.
  • You take any action that may circumvent our controls such as opening multiple Prometheus accounts or abusing promotions that we may offer from time to time.
  • You fail to provide on request such documentation as Prometheus (or any third party whose services we use in proving the Services to under this agreement) reasonably requires complying with its obligations under applicable money laundering laws and regulations or otherwise to ensure the verification of your identity and/or funding sources to Prometheus's satisfaction.
  • Any cryptocurrency purchase is significantly larger in size.
  • Prometheus reasonably believes that it is necessary or desirable to do so to protect the security of the account, including circumstances where any account details may have been lost or stolen.

In the case of any such suspension, Prometheus shall make reasonable efforts to inform you about the withholding or suspension, provided that such disclosure:

  • Is not in breach of any applicable law or regulation and does not contravene the instruction of any competent authority or regulator.
  • Would not compromise Prometheus's reasonable security measures.

Prometheus shall not be liable to you for any losses you may suffer because of any reasonable action it takes to suspend your account or withhold settlement of a cryptocurrency purchase.

Fees

All fees payable under these Terms of Use are displayed prior to the transaction flow and shall be paid USD or any other currency that is agreed between Prometheus and the user. Prometheus reserves the right to pursue any financial losses suffered due to you filing a chargeback/reversal procedure with your bank. These can include administration fees levied by the card processor, banks and the card schemes as well as the monetary value of the cryptocurrencies ordered/purchased.

In the event of a chargeback, Prometheus absorbs the financial impact on its balance sheet. Customers are not subject to clawback of assets once delivered, although Prometheus reserves legal rights to pursue recovery in cases of fraud or abuse.

Data Protection Laws

You acknowledge that we may process personal data in relation to you, in connection with these Terms of Use, or the Prometheus Services. We will process and sometimes update this personal data in accordance with the Privacy Policy. Accordingly, you represent and warrant that:

  • Your disclosure to us of any personal data was or will be made in accordance with all applicable data protection and data privacy laws, and that data are accurate, up to date and relevant when disclosed.
  • Before providing any such personal data to us, you acknowledge that you have read and understood our Privacy Policy.
  • From time to time we provide you with a replacement version of the Privacy Policy, you will promptly read that notice and provide updated copies of the Privacy Policy, or re-direct towards a site containing the updated Privacy Policy, any individual whose personal data you have provided to us.

Liability

Prometheus shall not be liable in any way to you or to any other person for the truthfulness, completeness, reliability and accuracy of account information or any other information or data it receives from third parties, including you and your payment service providers. We shall not be required to make any investigation into and shall be entitled in good faith without incurring any liability to assume (without requesting evidence thereof) the validity, authenticity and veracity of any documents, information, declarations, or notices received with respect to providing services under Prometheus's Services. In this respect, we fully rely on the data providers involved and are not obliged to independently verify the information we receive.

Prometheus shall not be liable in any way to you or any other person with respect to any claim arising in relation to these Terms of Use, save in the case of grossly negligent actions or omissions. Prometheus will under no circumstances be liable to you for indirect punitive or consequential loss of any kind whatsoever (including but not limited to loss of profits, business, goodwill, or opportunity), whether foreseeable, even if advised of the possibility of such loss or damage and regardless of the form of action.

IN NO EVENT SHALL PROMETHEUS, ITS AFFILIATES AND SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES OR REPRESENTATIVES, BE LIABLE FOR ANY LOST PROFITS, DIMINUTION IN VALUE OR BUSINESS OPPORTUNITY, ANY LOSS, DAMAGE, CORRUPTION OR BREACH OF DATA OR ANY OTHER INTANGIBLE PROPERTY OR ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORIZED OR UNAUTHORIZED USE OF PROMETHEUS'S SERVICES OR PROMETHEUS'S SITE, OR THIS AGREEMENT, EVEN IF AN AUTHORIZED REPRESENTATIVE OF PROMETHEUS HAS BEEN ADVISED OF OR KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE, EXCEPT TO THE EXTENT OF A FINAL JUDICIAL DETERMINATION THAT SUCH DAMAGES WERE A RESULT OF PROMETHEUS'S GROSS NEGLIGENCE, FRAUD, WILLFUL MISCONDUCT OR INTENTIONAL VIOLATION OF LAW.

THIS MEANS, BY WAY OF EXAMPLE ONLY (AND WITHOUT LIMITING THE SCOPE OF THE PRECEDING SENTENCE), THAT IF YOU CLAIM THAT PROMETHEUS FAILED TO PROCESS A TRANSACTION PROPERLY, YOUR DAMAGES ARE LIMITED TO NO MORE THAN THE VALUE OF THE SUPPORTED DIGITAL CURRENCY AT ISSUE IN THE TRANSACTION, AND THAT YOU MAY NOT RECOVER FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, DIMINUTION IN VALUE OR OTHER TYPES OF SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES IN EXCESS OF THE VALUE OF THE SUPPORTED DIGITAL CURRENCY AT ISSUE IN THE TRANSACTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

PROMETHEUS'S SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROMETHEUS SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. PROMETHEUS DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT ACCESS TO THE SITE, ANY PART OF PROMETHEUS'S SERVICES, OR ANY OF THE MATERIALS CONTAINED THEREIN, WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR ERROR-FREE. PROMETHEUS DOES NOT GUARANTEE THAT ANY ORDER WILL BE EXECUTED, ACCEPTED, RECORDED OR REMAIN OPEN.

EXCEPT FOR THE EXPRESS STATEMENTS SET FORTH IN THESE TERMS OF USE, YOU HEREBY ACKNOWLEDGE AND AGREE THAT YOU HAVE NOT RELIED UPON ANY OTHER STATEMENT OR UNDERSTANDING, WHETHER WRITTEN OR ORAL, WITH RESPECT TO YOUR USE AND ACCESS OF PROMETHEUS SERVICES AND PROMETHEUS SITE. WITHOUT LIMITING THE FOREGOING, YOU HEREBY UNDERSTAND AND AGREE THAT PROMETHEUS WILL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING OUT OF OR RELATING TO: (A) ANY INACCURACY, DEFECT OR OMISSION OF DIGITAL CURRENCY PRICE DATA, (B) ANY ERROR OR DELAY IN THE TRANSMISSION OF SUCH DATA, OR (C) INTERRUPTION IN ANY SUCH DATA.

Since Prometheus's Services are provided on "as is" and "as available" basis, we do not guarantee an error-free process. Every effort is made to keep the website up and running smoothly. However, Prometheus takes no responsibility for, and will not be liable for, the website becoming temporarily unavailable, especially due to technical issues beyond our control, nor will we accept any responsibility for money or tokens being lost because of transactions working improperly or a systems failure. The possibility of performing transactions may be temporarily unavailable in case of liquidity issues for which we take no responsibility. Additionally, we accept no responsibility for and cannot guarantee the reliability of either payment services provider that a user chooses to use Prometheus's Services.

Stored Card Details

Prometheus is legally obligated to secure your consent to allow us to store your card details for future use and cannot process your payment before you agree to such storing. By accepting these Terms of Use, you hereby give us permission to do so. Your card will remain stored against your account for transactional purposes, unless you decide to remove it, or until the card expired. For legal and regulatory purposes, we will continue to store records for your transaction in accordance with our Privacy Policy.

We need to do this so that you will be able to process transactions more easily in the future and it also helps us to prevent and detect any fraudulent activity. Stored details are primarily used so that you don't have to re-enter all your details for every transaction you make. In your account, you will see the last four digits of the card number, and this forms the reference for you to reference the correct card you wish to use.

We also compare stored details in our fraud screening systems, to prevent your details from being used on any other accounts and safeguard your data. As per our policy, if you don't agree to us storing your payment card details, we won't be able to process your transaction from the card used. Lastly, changes in the permitted use will require your agreement and will notify you if this occurs.

Term

These Terms of Use will commence in the manner set out in the introduction and will continue unless either party notifies the other of termination, in writing, in accordance with the Terms of Use. These Terms of Use can be terminated immediately by the user/customer providing written notice to Prometheus. Lastly, these Terms of Use can be terminated by Prometheus in accordance with all the provisions of these Terms of Use.

Entire Agreement & Severability

These Terms of Use, together with our Privacy Policy and any other legal notices published on our website or platform, constitute the entire agreement between you and Prometheus with respect to the Services and supersede all prior or contemporaneous understandings. If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

Force Majeure

No party will be in breach of these Terms of Use nor liable for any failure to perform its obligations under these Terms of Use if that failure results from circumstances beyond its reasonable control.

Notices

Prometheus may (where allowed to do so by law) communicate with you by posting information in your account or on our website, in which case the information will be treated as received by you when it is posted by us. We may also contact you at the postal or email address you provide us with when processing a transaction. Notices sent by email will be deemed to have been received at the time of transmission as shown by the sender's records (or if sent outside business hours, at 9 AM on the first business day following dispatch). Lastly, notices sent by post will be deemed to have been received on the second business day after posting.

Termination and Survival

Prometheus may suspend or terminate your access to the Services at any time for any reason permitted under these Terms of Use. Upon termination, your right to use the Services will cease immediately; however, all provisions of these Terms of Use which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, limitations of liability, governing law, arbitration, and dispute resolution provisions.
